1. Parties
This agreement is entered into between:
- ALGECOM LTD, a private limited company incorporated in England and Wales under number 16563418, whose registered office is at 128 City Road, London, EC1V 2NX, United Kingdom, trading under the brand ClicSite Lab (hereinafter "the Provider"), reachable at contact@clicsitelab.com;
- the individual or legal entity identified in the order summary (hereinafter "the Client").
2. Purpose
The Provider designs and builds a website for the Client according to the plan (Essential, Pro or Store) and the add-ons chosen when ordering, then hosts and maintains it under a subscription.
3. Contract documents
The agreement consists of, in order of priority: (1) the order summary (plan, add-ons, prices, timelines); (2) this agreement; (3) the brief completed by the Client. Any service not listed in these documents is subject to a separate quote.
4. Order and electronic signature
Orders are placed online. The Client reads the agreement, ticks the acceptance boxes and types their full name, which serves as an electronic signature. The Provider records the date, time, IP address, browser used and the digital fingerprint (SHA-256) of the version of the agreement accepted. The Client can download a copy of the signed agreement. The agreement takes effect upon receipt of the deposit.
5. Prices
Prices are those displayed at the time of ordering, in the currency of the Client's region: Algerian dinar (DA) for Algeria, euro (€) for Europe and US dollar ($) for the rest of the world. They cover the creation of the website, the chosen add-ons and, where applicable, the Express surcharge. The Provider is not registered for VAT: no VAT is charged. Bank charges, currency conversion fees and taxes specific to the Client's country are borne by the Client.
6. Payment
- Deposit: 50% of the build price, when ordering. Work begins once it has been received.
- Balance: the remainder, on delivery, after the website has been approved and before it goes live permanently.
- Payment methods: in Algeria, BaridiMob or CCP transfer with proof of payment; in Europe and internationally, card payment through Stripe.
- Until the balance has been paid, the website is not put online and the rights provided for in clause 13 are not transferred.
7. Timelines and express delivery
The stated timelines (5 business days for Essential, 10 for Pro, 15 to 21 for Store, plus the time required for add-ons) run from receipt of the deposit and of all the content required (copy, images, logo, access details). Any delay by the Client in providing content or approvals extends the timeline accordingly. The Express option (+40% on the build price) halves the timelines; if the Provider fails to meet them for a reason attributable to it, the Express surcharge is refunded.
8. Client's obligations
The Client provides accurate information and content for which it holds the rights (copy, photos, logos, trademarks). The Client indemnifies the Provider against any claim relating to such content. The Client appoints a single point of contact and responds to approval requests within a reasonable time. The Client remains responsible for the content published on its website and for its compliance with the laws of its country (legal notices, data protection, online selling).
9. Provider's obligations
The Provider builds the website with care and in accordance with professional standards, based on the brief and content provided, and keeps the Client informed of progress. The Provider is bound by an obligation of means: it applies good search-engine optimisation practices but guarantees neither a specific ranking on Google nor any volume of visits or sales.
10. Changes and revisions
The price includes a number of revision rounds: 2 for Essential, 3 for Pro and Store. A round covers all the feedback sent at one time. Additional requests, or requests that change the scope (new pages, new features, redesign of an already approved design), are subject to an additional quote.
11. Acceptance and go-live
The Provider delivers the website on a preview address. The Client has 7 days to approve it or request the included revisions. If no reply is received within this period, the website is deemed accepted. The balance then becomes payable and the website goes live once it has been paid.
12. Hosting and maintenance subscription
- The subscription is mandatory for every website created and hosted by the Provider. It starts on the day the website goes live.
- It includes hosting, the HTTPS certificate, security updates, backups, website monitoring, a monthly allowance of change time (30 minutes for Essential, 1 hour for Pro, 2 hours for Store, which cannot be carried over from one month to the next) and support by WhatsApp and email, with a reply within one business day.
- It is paid monthly in advance, or yearly in advance at the price of 10 months.
- Commitment: 12 months from go-live. It then renews from month to month (or from year to year on the yearly plan) and may be cancelled at any time by email with 30 days' notice.
- In the event of non-payment, if a reminder remains unanswered for 15 days, the Provider may suspend the website; after a further 30 days, it may terminate the subscription.
- Domain names, email addresses and third-party services subscribed for the Client renew on their own terms; their renewal costs may be recharged with the Client's agreement.
13. Intellectual property
- The Client remains the owner of its content (copy, photos, logo provided) and of its data.
- The domain name is registered in the Client's name, or transferred to the Client on simple request.
- A logo created with the Logo add-on is assigned to the Client upon full payment.
- The design and code of the website are licensed to the Client for use for the duration of the subscription. After 12 months of paid subscription, or upon payment of the months remaining until 12 months, the Client may obtain a complete copy of its website (files and content) free of charge and use it freely.
- The Provider retains its tools, generic components and know-how. It may showcase the website in its portfolio, unless the Client objects in writing.
14. Liability
The Provider's liability is limited to direct and proven damage, up to the amounts paid by the Client over the previous 12 months. It does not cover indirect damage (loss of revenue, customers or data), interruptions of third-party services (host, database, payment providers, search engines, social networks), or content provided by the Client.
15. Personal data
The Provider processes the Client's data in accordance with its privacy policy. For the data of visitors to and customers of the website built, the Client is the controller and the Provider acts as processor for hosting and maintenance.
16. Right of withdrawal (consumers in the European Union)
A Client acting for business purposes has no right of withdrawal. A consumer Client residing in the European Union has 14 days from the order to withdraw, by email. If the Client asked for work to begin before the end of that period, the Client pays for the work already carried out at the time of withdrawal, and loses this right once the service has been fully performed.
17. Cancellation and termination
- Before work begins, the Client may cancel the order: the deposit is refunded, minus costs already incurred (domain name, licences).
- After work has begun, the sums paid remain due to the Provider for the work carried out.
- In the event of a serious breach by either party, the other party may terminate the agreement if a formal notice remains unanswered for 15 days.
18. Force majeure
Neither party is liable for any delay or failure to perform caused by force majeure (natural disaster, widespread internet or power outage, administrative decision, conflict). Timelines are suspended for its duration.
19. Governing law and disputes
This agreement is governed by the law of England and Wales. The parties will first seek an amicable solution for 30 days. Failing that, the courts of England and Wales have jurisdiction. A consumer Client retains the protection of the mandatory provisions of the law of its country of residence and may bring proceedings before the courts of that country.
20. Language and contact
This agreement exists in French, Arabic, English and Spanish; in the event of any discrepancy, the French version prevails. For any question: contact@clicsitelab.com.
